These terms govern your use of MarketEntryIndia. Please read them before creating an account or submitting information.

1. About the platform
MarketEntryIndia is operated by Alcodex Technologies Pvt Ltd (“Alcodex”, “we”, “us”, or “our”), a company incorporated in India. The platform helps businesses identify market-access opportunities and connect with independent professionals and partner organisations in India and other supported markets.
2. Acceptance of these terms
By accessing the platform, creating an account, or submitting a requirement or profile, you agree to these terms and our Privacy Policy. If you use the platform on behalf of an organisation, you confirm that you are authorised to bind that organisation.
3. Eligibility and accounts
You must be legally capable of entering into a binding contract under applicable law. You must provide accurate information, keep your credentials confidential, and notify us promptly if you suspect unauthorised access. You are responsible for activity conducted through your account.
4. Our role
We qualify requirements, review network profiles, prepare shortlists, and facilitate introductions. Unless a separate written agreement states otherwise, we do not act as an employer, agent, partner, legal adviser, investment adviser, or representative of any network member or client. An introduction is not a guarantee of suitability, performance, regulatory approval, funding, or commercial success.
5. Network members and engagements
Professionals and organisations listed on the platform are independent parties. Profile review indicates that specified information has been reviewed; it is not a warranty or endorsement. Each party must conduct its own commercial, legal, tax, technical, and regulatory due diligence before entering into an engagement. The scope, fees, deliverables, confidentiality obligations, intellectual-property rights, and liabilities for an engagement must be recorded in a separate written agreement.
6. Your responsibilities
You must provide information that is accurate, current, lawful, and not misleading. You must not impersonate another person, infringe intellectual-property or privacy rights, upload malicious code, bypass access controls, scrape the platform, interfere with its operation, or use information obtained through it for spam or an unrelated purpose.
7. Confidential information and introductions
Do not submit trade secrets or highly sensitive information unless we have agreed on suitable safeguards. We may prepare a non-confidential opportunity brief from the information you provide. Contact details are ordinarily released only after both parties consent. You must use information received through an introduction only to assess or perform the relevant opportunity.
8. Intellectual property
The platform, its branding, software, design, and original content belong to Alcodex or its licensors. We grant you a limited, revocable, non-transferable right to use the platform for its intended business purpose. You retain ownership of content you submit and grant us a non-exclusive licence to host, process, reproduce, and share it only as reasonably necessary to operate the service and facilitate authorised introductions.
9. Fees and taxes
Access may be free during an initial release. Any platform, introduction, subscription, or engagement fee will be disclosed before it becomes payable. Fees are exclusive of applicable taxes unless stated otherwise. Payment and cancellation terms may be set out in a separate proposal or order form.
10. Availability and changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. We may change, suspend, or discontinue a feature for security, maintenance, legal, or commercial reasons. We may also update these terms; material changes will be communicated through the platform or by email where appropriate.
11. Disclaimers and limitation of liability
To the extent permitted by law, the platform is provided on an “as available” basis. We exclude implied warranties that may lawfully be excluded. Alcodex will not be liable for indirect, incidental, special, or consequential loss, loss of profits, loss of opportunity, or loss of data arising from use of the platform or an independent engagement. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability arising from fraud or wilful misconduct.
12. Suspension and termination
You may stop using the platform at any time. We may restrict or terminate access where we reasonably believe an account presents a security risk, breaches these terms, infringes another person’s rights, or exposes the platform or its users to legal or commercial harm. Provisions intended to survive termination will continue to apply.
13. Governing law and disputes
These terms are governed by the laws of India. Subject to any mandatory rights available under applicable law, courts with jurisdiction over Alcodex’s registered office will have exclusive jurisdiction. The parties should first attempt to resolve a dispute in good faith through written discussions.
